Affiliate Terms of Service

1. Program Overview

The AltheonIQ Affiliate Program (“Program”) allows approved participants (“Affiliates”) to earn commissions by referring new paying subscribers to AltheonIQ, operated by Arrington Innovative Solutions LLC (“AIS”, “we”, “us”).

By applying to or participating in the Program, you agree to be bound by these terms. AIS reserves the right to modify these terms at any time with 14 days' notice to active affiliates.

2. Eligibility and Application

To participate, you must: (a) have an active AltheonIQ account; (b) submit an application with accurate information about your audience and promotion plans; and (c) be approved by AIS in our sole discretion. AIS may reject any application without explanation.

3. Commission Structure

• Rate: 30% of each qualifying payment by a Referred Subscriber, unless a custom rate has been agreed in writing.
• Duration: Commissions are earned for 24 calendar months from the date the Referred Subscriber first signs up.
• Qualifying Payments: Only successful, non-refunded subscription payments made by a Referred Subscriber generate commissions.
• Commission Window: Your referral tracking cookie expires 30 days after the initial click. Signups that occur after cookie expiry are not attributed.

4. Self-Referral Prohibition

You may not refer yourself, use your own referral link to create additional accounts, or otherwise generate commissions from your own subscription payments. Violations will result in immediate termination and forfeiture of all unpaid commissions.

5. Payouts

• Minimum Payout: $50.00 USD. Balances below the minimum carry forward to the next period.
• Schedule: Payouts are processed monthly, typically within the first 10 business days of the following month.
• Methods: PayPal (to a verified email) or Zelle (to an email or phone number). You are responsible for providing accurate payout information.
• Taxes: You are responsible for all applicable taxes on commissions earned. AIS may request a W-9 or equivalent tax form before processing payouts.

6. Commission Adjustments and Voids

Commissions will be voided if: (a) the Referred Subscriber cancels their subscription or requests a refund; (b) the payment is charged back; (c) fraud or policy violation is detected; or (d) the 24-month commission window has expired. AIS may claw back commissions already paid if a reversal occurs within 60 days of payout.

7. Promotional Standards

You agree to:

• Only make truthful, accurate claims about AltheonIQ.
• Clearly disclose your affiliate relationship in all promotional content (e.g., “This post contains affiliate links”).
• Not use spam, unsolicited emails, or deceptive advertising.
• Not bid on AltheonIQ brand keywords in paid search without prior written approval.
• Not promote through adult, harmful, or illegal content.

8. Intellectual Property

AIS grants you a limited, non-exclusive, revocable license to use AltheonIQ's approved marketing materials solely for promoting the Program. You may not alter our branding or imply any endorsement beyond the affiliate relationship.

9. Termination

Either party may terminate participation with 7 days' written notice. AIS may terminate immediately for fraud, policy violations, or reputational harm. Upon termination, you will receive any earned commissions that have cleared the void period, subject to the minimum payout threshold.

10. Limitation of Liability

AIS's aggregate liability to you under this Program is limited to the unpaid commissions owed to you at the time of any claim. AIS is not liable for indirect, consequential, or punitive damages.

11. Governing Law

These terms are governed by the laws of the State of Georgia, USA. Any disputes will be resolved in Fulton County, Georgia.
